1. Introduction

Welcome to zlorp. These Terms and Conditions ("Terms") govern your use of the zlorp platform and services operated by Div0x LLP ("we," "us," or "our"), a company registered in India.

By accessing or using our platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

2. Definitions

• "Platform" refers to the zlorp website, applications, and all related services
• "Merchant" refers to any individual or entity that registers to sell products through our platform
• "Customer" refers to end users who purchase products from Merchants' stores
• "Store" refers to the online storefront created by a Merchant on our platform
• "Services" refers to all features and functionalities provided by zlorp

3. Account Registration

To use our services as a Merchant, you must:

• Be at least 18 years of age
• Provide accurate, complete, and current registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activities.

4. Merchant Obligations

As a Merchant on our platform, you agree to:

• Sell only legal products that comply with all applicable Indian laws
• Provide accurate product descriptions, images, and pricing
• Fulfill orders in a timely manner
• Handle customer queries and complaints professionally
• Maintain appropriate licenses and permits for your business
• Comply with GST and other tax regulations
• Not sell prohibited items including but not limited to: illegal drugs, weapons, counterfeit goods, or adult content
• Not engage in any activity that could harm the platform or other users

5. Subscription Plans and Pricing

5.1 Free Trial

We offer a free trial period for new users. During this period, you can evaluate our services without charge. If you cancel during the free trial, any charges will be fully refunded.

5.2 Paid Subscriptions

After the free trial, you may subscribe to one of our paid plans. Subscription fees are charged in advance on a monthly or annual basis, depending on your selected plan.

Payments are processed through our third-party payment gateway partners. Standard payment gateway charges apply to all transactions processed through your store.

6. Cancellation

You may cancel your subscription at any time. Upon cancellation:

• Your subscription will remain active until the end of your current billing cycle
• You will continue to have access to all features until the cancellation takes effect
• No refunds will be provided for the remaining period (except during free trial)
• Your store data will be retained for a limited period

7. Intellectual Property

7.1 Our Intellectual Property

The zlorp platform, including its design, code, features, and content, is owned by Div0x LLP and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7.2 Your Content

You retain ownership of content you upload to your store (product images, descriptions, etc.). By uploading content, you grant us a non-exclusive license to display and distribute this content as necessary to provide our services.

8. Data Protection

We are committed to protecting your data and the data of your customers. Our data practices are governed by our Privacy Policy.

As a Merchant, you are responsible for:

• Complying with applicable data protection laws
• Maintaining appropriate privacy policies for your store
• Handling customer data responsibly

9. Limitation of Liability

To the maximum extent permitted by law:

• Our platform is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid by you in the last 12 months
• We are not responsible for disputes between Merchants and Customers
• We are not liable for any loss of business, profits, or data

10. Indemnification

You agree to indemnify and hold harmless Div0x LLP, its directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your account at any time if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• Your actions harm other users or the platform
• You fail to pay subscription fees

Upon termination, you will lose access to your store and its data. We may retain certain data as required by law.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved as follows:

• First, through good-faith negotiations between the parties
• If unresolved, through arbitration in accordance with the Arbitration and Conciliation Act, 1996
• The seat of arbitration shall be Mumbai, India
• The language of arbitration shall be English

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. The courts of Mumbai shall have exclusive jurisdiction over any disputes arising from these Terms.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the platform after changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue to be valid and enforceable.
